International Business Center (IBC) Regime in Thailand: Key Requirements and Benefits

Thailand’s International Business Center (IBC) Regime

Thailand’s International Business Center (IBC) regime provides an opportunity for multinational corporations to establish regional headquarters, shared-services hubs, or treasury centers. By offering significant tax and non-tax incentives, the regime enhances Thailand’s position as a strategic hub for international business operations in Southeast Asia.

Legal Framework Governing the IBC Regime

The IBC regime is grounded in a clear legal framework that sets out its requirements, benefits, and compliance obligations. The key legal instruments are:

1. BOI Announcement No. Sor. 6/2561 (2018):

Issued by the Thailand Board of Investment (BOI), this announcement (TH, EN) outlines the eligibility criteria for IBC status, permitted activities, and the non-tax incentives available, such as:

• 100% foreign ownership,

• Land ownership for business purposes,

• Streamlined visa and work permit processes.

2. Royal Decree No. 674 B.E. 2561 (2018):

This decree (TH, EN) establishes the tax benefits under the IBC regime, including:

• Reduced corporate income tax (CIT) rates,

• Flat personal income tax (PIT) for expatriates,

• Exemptions from withholding tax (WHT) and specific business tax (SBT).

Eligibility Criteria for the IBC Regime

To qualify under the IBC regime, companies must meet the following criteria:

1. Corporate Structure

The company must be incorporated under Thai law and structured to provide permitted services to its associated enterprises. The corporate structure must align with the IBC regime’s objectives and comply with the legal framework.

2. Paid-Up Capital

The company must maintain a minimum paid-up registered capital of THB 10 million by the last day of each accounting period. This ensures the company’s financial stability and commitment to its operations in Thailand.

3. Annual Operating Expenses

To qualify for tax benefits under the IBC regime, the company must incur at least THB 60 million in annual operating expenses paid to recipients in Thailand. These expenses may include:

• Employee salaries,

• Professional service fees,

• Payments for other operational activities involving Thai entities.

This threshold is specifically required to access the tax incentives offered under the IBC regime.

4. Employee Requirements

The company must employ:

• At least 10 full-time skilled employees for general IBC operations, or

• At least 5 full-time skilled employees if operating solely as a treasury center.

Employees must possess the skills and expertise relevant to the company’s permitted activities under the IBC regime.

5. Permitted Activities and Business Plan

The company must engage in at least one of the following permitted activities to qualify under the IBC regime:

1. General Business Management and Coordination: Strategic planning, business administration, and operational oversight.

2. Procurement of Raw Materials and Components: Sourcing and managing supply chains for affiliates.

3. Research and Development (R&D): Conducting product innovation, prototyping, and testing.

4. Technical Support: Providing maintenance, troubleshooting, and technical expertise.

5. Marketing and Sales Promotion: Developing market strategies, branding, and advertising campaigns.

6. Human Resources Management and Training: Recruitment, employee development, and performance management.

7. Financial Advisory Services: Providing investment analysis, financial planning, and risk management.

8. Economic and Investment Analysis: Assessing market trends, investment risks, and opportunities.

9. Credit Management and Control: Monitoring financial risks and credit policies.

10. Treasury Center Services: Managing cash flow, liquidity, and intra-group financing.

11. International Trade: Facilitating cross-border transactions and logistics.

12. Other Supporting Services: As approved by the Director-General of the Revenue Department.

The company is required to maintain a business plan that outlines:

• The IBC’s objectives,

• The specific permitted activities the company will perform,

• How these activities align with the IBC regime’s goals and requirements.

Companies engaging in international trade must include at least one activity from points 1–10 in their business plan.

6. Restrictions

• Import Duty Exemption: IBC companies are not eligible for import duty exemptions on raw or essential materials used in the production of goods for export.

• Merit-Based Incentives: IBC companies are not eligible for additional merit-based incentives but may receive non-tax benefits under the BOI’s B1 category (e.g., exemption of import duties on machinery for R&D or training purposes).

Income derived from financial management services is exempt from SBT.

4. Personal Income Tax (PIT) for Expatriates

Foreign employees working full-time for the IBC are eligible for a flat PIT rate of 15%.

Non-Tax Incentives

The BOI offers additional non-tax incentives to further support businesses participating in the IBC regime:

1. 100% Foreign Ownership: IBCs can be entirely foreign-owned.

2. Land Ownership: Foreign-owned IBCs are permitted to own land for business purposes.

3. Streamlined Visa and Work Permit Processes: Simplified application procedures are available for expatriate employees and directors.

4. Eligibility for LTR Visa: IBCs qualify as a targeted industry under the Long-Term Resident (LTR) Visa program, enabling skilled professionals and executives to benefit from a 10-year visa and other privileges.

5. Investment Protection: Companies benefit from legal protections under the Investment Promotion Act, including safeguards against expropriation.

Compliance Requirements for IBCs

1. Accounting and Recordkeeping

IBC companies must maintain:

• Separate accounts for:

• Headquarters and treasury management services.

• Royalties derived from R&D in Thailand.

• Non-IBC business activities.

• Proportional allocation of common expenses between IBC and non-IBC activities.

2. Reporting Obligations

IBC companies must:

• Submit separate tax returns for different income streams, including treasury operations and royalties.

• Provide financial statements and compliance reports to the BOI and Revenue Department.

3. Monitoring and Audits

Thai authorities actively monitor compliance through audits and inspections. Non-compliance may lead to penalties, suspension of benefits, or revocation of IBC status.

Application Process for the IBC Regime

The application process involves the following steps:

1. Document Preparation: Compile incorporation documents, business plans, and details of permitted activities.

2. Submission: Apply to the BOI for non-tax incentives and the Revenue Department for tax benefits.

3. Approval: Upon approval, receive certification to operate under the IBC regime.

4. Ongoing Compliance: Adhere to all operational and reporting requirements.
